Paul Caddy

Paul is a Solicitor in the Corporate & Commercial practice group. He specialises in:

• drafting and negotiating corporate, commercial and IT agreements (including terms and conditions, distributorship agreements, software licence agreements etc.);
• venture capital work (including setting up limited partnerships, advising on and negotiating investments in investee companies etc.);
• advising on general commercial and corporate law; and
• mergers and acquisitions work.

Recent work includes:

• assisting in the establishment of the £185 million North West Fund which makes monies available to businesses in the form of debt, equity and quasi-equity in the North West region.  This deal is the largest venture capital fund of its kind in the UK and one of the largest public sector funds of its kind in Europe;
• assisting in the establishment of the £90 million Finance Yorkshire Fund which offers similar finance to that of the North West Fund in the Yorkshire and Humber region;
• advising a client which markets promotional products on a £30 million and £5 million capital reconstruction;
• managing the due diligence and disclosure processes for a c. £50 million sale of a chain of restaurants;
• advising a France-based Internet clothing retailer (part of a major multi-national retail group) on trading into the United Kingdom which included advising on, amongst other matters, advertising codes, footwear and textiles regulations, trade marks, distance selling regulations and data protection.

Paul is a member of the International Bar Association and is involved with the groupings of European associated law firms of which Laytons is a member. He speaks fluent French (having lived in France and Switzerland), good Spanish (having spent 4 months in South America in 2007 and 2008) and some German.
