We have advised many clients on their admission to public markets, in particular AIM, acted for nominated advisers on AIM admissions and also on subsequent secondary issues through placings, open offers and rights issues.
We provide on-going advice in relation to the continuing obligations of listed companies, including under the rules of the relevant market, the FCA, the City Code and the Companies Acts.
We have advised on, IPOs, readmissions upon reverse takeovers, de-listing, further capital raising rounds through placings and open offers, share buybacks and "take-private" transactions:
- acting for a listed small-cap public company in its public-to-private conversion
- acting for an AIM listed company in a series of placings and open offers raising in aggregate £80m
- acting for an AIM company in its wind down programme to divest its assets and return funds to shareholders through a tender offer buy back with a matching special dividend alternative
- acting for an AIM shell in relation to a reverse takeover and simultaneous placing to raise funding for the enlarged group
